Nowelizacja polskiej ustawy sankcyjnej – co się zmienia w zakresie obowiązków dla przedsiębiorców?

Nowe sankcje, nowe obowiązki: znowelizowana ustawa sankcyjna wprowadza szereg zmian, które dotykają nie tylko eksporterów, ale także producentów i firmy działające wyłącznie na rynku krajowym. W artykule wyjaśniamy, co dokładnie się zmieniło, jakie dokumenty trzeba przygotować i jak skutecznie zabezpieczyć swój biznes przed sankcjami oraz karami finansowymi.

Zgodnie z obowiązującą od dnia 16.04.2022 roku ustawą sankcyjną[1] zostały wprowadzone środki mające na celu przeciwdziałania wspieraniu agresji Federacji Rosyjskiej na Ukrainę rozpoczętej w dniu 24.02.2022 roku. Przepisy dotyczą również Białorusi, ze względu na jej udział w tym konflikcie. Celem polskiej ustawy jest odcięcie finansowania oraz wszelkich innych form wsparcia, które mogłoby wzmocnić te państwa oraz ich działania.

Jaki wpływ ma ta ustawa na prowadzenie biznesu w Polsce?

Wbrew pozorom, przepisy sankcyjne nie dotykają wyłącznie podmiotów eksportujących towary za naszą wschodnią granicę. Przeciwnie – ustawa nakłada obowiązek dochowania należytej staranności przy wyborze kontrahentów na każdego przedsiębiorcę, nawet jeśli dokonuje on transakcji wyłącznie z polskimi podmiotami, bez udziału czynnika międzynarodowego. Coraz częściej słyszymy o przypadkach, w których osoby lub podmioty powiązane z naszymi wschodnimi sąsiadami zakładają działalność gospodarczą w Polsce, podając się za polskich przedsiębiorców, choć w rzeczywistości ich celem jest handel z państwami objętymi sankcjami.

Nieprzestrzeganie zasad dochowania należytej staranności przy zawieraniu umów – również z polskimi podmiotami – może skutkować nałożeniem dotkliwych sankcji finansowych, a nawet odpowiedzialnością karną osób działających w imieniu takich podmiotów.

Co nowego w nowelizacji ustawy sankcyjnej?

Znowelizowana ustawa sankcyjna wprowadza szereg nowych obowiązków dla podmiotów prowadzących sprzedaż zagraniczną. Obowiązki te dotyczą nie tylko eksporterów – którzy zostali zobowiązani do obligatoryjnego składania „oświadczenia eksportera” do urzędu celnego – lecz także producentów towarów, które za pośrednictwem eksportera są wywożone poza granice Polski. Nowe regulacje mają więc zastosowanie nie tylko do towarów „podwójnego zastosowania”, ale do wszystkich objętych sankcjami Unii Europejskiej. W praktyce istotne może się okazać sprawdzenie, czy dany towar znajduje się na listach publikowanych w załącznikach do unijnych rozporządzeń sankcyjnych. Dodatkowe obostrzenia dotyczą również towarów objętych kodami taryfy celnej (np. systemu CHP czy Combined Nomenclature).

Zgodnie z wprowadzonymi zmianami, eksporter będzie zobowiązany do:

1. Podania danych użytkownika końcowego towaru oraz złożenia – pod rygorem odpowiedzialności karnej – tzw. „oświadczenia eksportera”, w którym wskaże, że:

tranzyt przez terytorium Federacji Rosyjskiej lub Białorusi stanowi jedynie część całej trasy przewozu towarów, przy czym początek i koniec trasy znajduje się poza terytorium tych państw,
w trakcie przewozu w procedurze tranzytu towaru przez terytorium Federacji Rosyjskiej lub Białorusi towar nie będzie podlegał odsprzedaży, przetwarzaniu, składowaniu ani usługom świadczonym przez podmioty objęte środkami ograniczającymi Unii Europejskiej, ustanowionymi w związku z agresją Federacji Rosyjskiej na Ukrainę,
miejscem końcowego przeznaczenia towarów jest państwo trzecie inne niż Federacja Rosyjska lub Białoruś.

W wyjaśnieniach organów celno-skarbowych wskazuje się, że w wielu przypadkach użytkownikiem końcowym będzie kontrahent eksportera. Jeśli jednak ten kontrahent pełni rolę pośrednika (towary są sprzedawane dalej), to ograniczenie się wyłącznie do wskazania kontrahenta w oświadczeniu może nie wystarczyć. Należy pamiętać, że oświadczenie składane jest pod rygorem odpowiedzialności karnej za fałszywe lub niezgodne z prawdą informacje.

Eksporter będzie zobowiązany do oznaczania w zgłoszeniu celnym specjalnego kodu 7P60 – dla oświadczenia eksportera. Oświadczenie producenta nie ma kodu, gdyż ma być przedkładane tylko na żądanie naczelnika US. Kod ten wskazuje, że zgłoszenie celne zawiera wymagane oświadczenie. W razie potrzeby organ celny może zażądać przesłania skanu lub nawet oryginału tego dokumentu. Przedsiębiorcy powinni zadbać o właściwą archiwizację tych dokumentów, ponieważ mogą okazać się one niezbędne w przypadku kontroli.

2. Przedłożenia (tylko na żądanie naczelnika urzędu celno-skarbowego) tzw. „oświadczenia producenta” – czyli potwierdzenia, że:

producent podjął działania w celu ustalenia, czy towary będą używane przez użytkowników końcowych w sposób zgodny z warunkami przewidzianymi w przepisach Unii Europejskiej, oraz
że może te działania udokumentować.

Obowiązek ten zaktualizuje się jednak wyłącznie w sytuacji, jeżeli analiza ryzyka przeprowadzona przez Krajową Administrację Skarbową (KAS) wykaże wysokie ryzyko obejścia środków ograniczających UE, ustanowionych w związku z agresją Rosji na Ukrainę.

Dowodem na dochowanie należytej staranności może być np. prowadzona korespondencja z kontrahentem w zakresie potwierdzenia, że towary będą używane zgodnie z przeznaczeniem oraz przepisami UE, czy też porozumienie, jakie standardowo zawiera się z kontrahentami wywożącymi towary poza Unię Europejską. Takie dokumenty warto archiwizować, ponieważ ich przedstawienie może mieć znaczenie dla oceny przez organ celny, czy eksporter dopełnił obowiązków wynikających z należytej staranności.

„Oświadczenie producenta” żądane będzie wyłącznie w przypadku, gdy analiza ryzyka organu celnego wykaże szczególnie wysokie ryzyko, że towar może zostać przekierowany do Rosji lub na Białoruś. Nie jest to zatem wymóg standardowy.

Dokonując analizy ryzyka, organ celny bada m.in. do którego kraju towar jest skierowany, jaką eksporter ma historię transakcji (czy prowadził wymianę towarową z podmiotami z Rosji/Białorusi) czy eksporter ma historię handlu z podmiotami z danego kraju trzeciego, jakie towary wywozi (czy np. występują towary ujęte w wykazie CHP), czy w przeszłości stwierdzono nieprawidłowości w jego transakcjach oraz wszelkie inne okoliczności, które mogą mieć znaczenie dla oceny ryzyka.

Na podstawie przedstawianych przez eksporterów informacji, KAS może dojść do wniosku, że konkretna transakcja rodzi wysokie ryzyko obejścia sankcji. Nowelizacja polskiej ustawy sankcyjnej upoważnia w takim przypadku KAS do zażądania od eksportera dodatkowego oświadczenia, tzw. „oświadczenia producenta”. Producent towarów oświadcza w nim, że:

podjął działania pozwalające ustalić, czy towary będą używane zgodnie z warunkami przewidzianymi w przepisach UE,
jest w stanie udokumentować te działania.

Stąd niezwykle ważne jest, nawet jeśli jesteś tylko producentem, już teraz pomyśleć o niezbędnych mechanizmach zabezpieczających twój biznes na ten wypadek.

3. Przedłożenia (jednak tylko jeżeli naczelnik urzędu celno-skarbowego tego zażąda) dokumentu potwierdzającego dokonanie odprawy celnej towarów w państwie przeznaczenia, w terminie 45 dni od wyprowadzenia towarów poza obszar celny Unii Europejskiej – pod rygorem zastosowania sankcji administracyjnej.

Obowiązek ten powstaje wyłącznie wtedy, gdy wcześniej zażądano „oświadczenia producenta”. Wówczas dokument potwierdzający odprawę celną należy dostarczyć niezwłocznie – bez odrębnego wezwania – do naczelnika urzędu celno-skarbowego, który zażądał oświadczenia.

Dokument potwierdzający odprawę może przybrać różną formę – istotne jest, by faktycznie potwierdzał dostarczenie towaru do deklarowanego kraju. Może to być m.in.:

potwierdzenie odprawy w systemie celnym kraju docelowego,
listy przewozowe,
dowody magazynowe,
dokumenty odprawy elektronicznej.

Jeżeli z uwagi na uwarunkowania transportowe, łańcuch dostaw czy formalności w kraju przeznaczenia 45-dniowy termin jest niemożliwy do dochowania, eksporter może złożyć do naczelnika urzędu celno-skarbowego z wnioskiem o jego wydłużenie, uzasadniając przyczyny opóźnienia i wykazując dochowanie należytej staranności.

Dokumenty przekazywane organom muszą być sporządzone w języku zrozumiałym dla urzędników. W razie potrzeby organ może zażądać tłumaczenia (nie musi być przysięgłe).

Co jednak niezwykle istotne, oświadczenie powinno być podpisane przez osobę uprawnioną do reprezentowania przedsiębiorstwa.

Kto odpowiada za weryfikację ryzyka naruszenia sankcji w łańcuchu sprzedaży?

Z wyjaśnień KAS wynika, że odpowiedzialność za sprawdzenie, czy w łańcuchu sprzedaży nie dojdzie do naruszenia sankcji, spoczywa zarówno na eksporterze, jak i producencie. W razie zażądania przez KAS oświadczenia producenta aktualizuje się też obowiązek dostarczenia w terminie 45 dni dokumentu potwierdzającego dokonanie odprawy celnej towarów poza UE (chyba że poprosi on o wydłużenie tego terminu i otrzyma zgodę).

Sankcje za niewywiązanie się z nowych obowiązków

Nowe przepisy ustawy sankcyjnej wprowadzają możliwość nałożenia przez KAS kary oraz zajęcia towarów – w przypadku stwierdzenia naruszenia sankcji unijnych związanych z agresją Rosji na Ukrainę (dotyczy to zarówno eksportu, jak i importu).

Ponadto, jeżeli eksporter nie przedstawi na żądanie dokumentu potwierdzającego dokonanie odprawy celnej towarów w państwie przeznaczenia w terminie 45 dni od wyprowadzenia towarów poza obszar celny UE, naczelnik urzędu celno-skarbowego może nałożyć karę w wysokości do 500 tys. złotych.

Nowelizacja podkreśla zatem konieczność szczegółowego dokumentowania transakcji oraz sprawdzenia finalnego odbiorcy towaru, co wiąże się z rozszerzonymi obowiązkami zarówno dla producenta, jak i eksportera. Dbałość o przejrzystą dokumentację i współpracę z organem celno-skarbowym pozwoli zminimalizować ryzyko sankcji oraz innych negatywnych konsekwencji.

Jak zatem zabezpieczyć swój biznes, żeby nie popadając w zbędną panikę prowadzić go zgodnie z obowiązującymi przepisami?

Rzetelnie i dokładnie sprawdzaj swoich kontrahentów – odpowiednio przeprowadzone due diligence pozwoli ci uniknąć nieprzyjemności związanych z potencjalną kontrolą KAS. Prześwietlając swojego kontrahenta, koniecznie sprawdź polskie i unijne listy sankcyjne, jak również zerknij i zweryfikuj publicznie dostępne rejestry, takie jak KRS, czy rejestr Beneficjentów Rzeczywistych. Sprawdzając powiązania osób i podmiotów wchodzących w skład organów twojego kontrahenta rozwiejesz wątpliwości co do ewentualnych powiazań z osobami lub podmiotami objętymi sankcjami;
Jeśli eksportujesz towary za granice – przygotuj odpowiednio zredagowane dokumenty tj. „oświadczenie eksportera”;
Jeśli jesteś producentem i istnieje ryzyko, że w ramach dalszej odsprzedaży twoje towary mogą być przewożone tranzytem przez Rosję, Białoruś lub mogą ostatecznie trafić do państw wysokiego ryzyka (Armenia, Kazachstan, Kirgistan) – zabezpiecz się, odbierając oświadczenia od kontrahentów co do użytkowników końcowych i państwa „docelowego” odbioru towaru, na wypadek ewentualnej kontroli KAS;
Zabezpiecz się wprowadzając odpowiednie klauzule umowne nakładające na kontrahentów obowiązek przestrzegania przepisów sankcyjnych. Odpowiednio zredagowane postanowienia w Twojej dokumentacji sprzedażowej nie tylko zabezpieczą twój biznes, ale też dadzą Ci podkładkę do wykazania należytej staranności przy ewentualnej kontroli KAS;
Wprowadź odpowiednie klauzule umowne wyłączające lub ograniczające odpowiedzialność za działania twoich kontrahentów niezgodne z przepisami sankcyjnymi, w tym związane z dalszą odsprzedażą sprzedawanych lub produkowanych przez Ciebie towarów w ramach dalszego łańcucha dostaw. Odpowiednio dostosowane postanowienia umowne pozwolą Ci ograniczyć odpowiedzialność za działania podmiotów, które kupując od Ciebie towar, dokonają reeksportu na tereny państw objętych sankcjami;
Zabezpiecz się odpowiednimi postanowieniami nakładającymi dodatkową odpowiedzialność odszkodowawczą lub kary umowne dla twoich kontrahentów z tytułu naruszenia przepisów sankcyjnych. W przypadku nałożenia na ciebie jakichkolwiek kar finansowych będziesz mógł dochodzić odszkodowania na zasadzie regresu lub żądać zapłaty kar umownych;
Przemyśl możliwość odebrania od kontrahentów oświadczeń o braku powiązań z podmiotami i osobami wpisanymi na listy sankcyjne, które będzie dodatkowo obejmowało oświadczenie o użytkownikach końcowych towarów. Choć to rozwiązanie zwiększa bezpieczeństwo, w praktyce może wiązać się z pewnymi niedogodnościami – dodatkowymi obowiązkami dla działu handlowego lub niechęcią kontrahenta, który może preferować współpracę z podmiotem, który takich oświadczeń nie wymaga. Dlatego, w zależności od charakteru prowadzonej przez Ciebie działalności, rozważ, czy nie warto skorzystać z wyżej wymienionych mechanizmów zabezpieczających.

Bez wątpienia, temat należytego zabezpieczenia interesów przedsiębiorców oraz prowadzenia handlu międzynarodowego w zgodzie z obecnymi regulacjami jest skomplikowany i może budzić wiele wątpliwości. Ostatecznie jednak kluczowe znaczenie mają: rzetelne śledzenie przepisów, staranność w prowadzeniu dokumentacji sprzedażową (w tym umów, warunków handlowych, OWS) oraz ostrożność w doborze kontrahentów. Wówczas nawet najbardziej skrupulatna kontrola skarbowa nie powinna spędzać snu z powiek, a działalność eksportowa będzie mogła przebiegać w ustabilizowany sposób.
