W swojej praktyce wielokrotnie spotykam się z postanowieniami umownymi określającymi formę składania oświadczeń woli w konkretnych przypadkach, w ramach realizacji umowy. O ile forma pisemna zwykle nie budzi wątpliwości stron, tak forma elektroniczna niekoniecznie oznacza to, co przedsiębiorca może zakładać w chwili zawierania umowy. Czy jeśli zastrzegę, że oświadczenia stron umowy składane w związku z jej realizacją będą składane w formie elektronicznej – to skutecznym będzie przesłanie drugiej stronie takiego oświadczenia e-mailem? Jak nie wpaść w pułapkę bezskuteczności złożonego oświadczenia z uwagi na źle zastrzeżoną formę? O tym w poniższym artykule.
W umowach B2B – najczęściej w tych o charakterze międzynarodowym – przedsiębiorcy bardzo często zastrzegają składanie oświadczeń woli, np. związanych z możliwością odstąpienia od umowy bądź jej wypowiedzenia w formie elektronicznej pod rygorem nieważności, równocześnie zakładając, że wysłanie wiadomości pocztą elektroniczną, spełnia ten warunek. Bo przecież nikt nie będzie się bawił w wysyłanie pisma (podpisanego odręcznie) do USA czy Hiszpanii. Niemniej jednak nie zdają sobie sprawy ze znaczenia tak wprowadzonych sformułowań. W konsekwencji takiego braku świadomości, w przypadku powstania jakiegokolwiek sporu na tym tle może się okazać, że złożone przez przedsiębiorcę oświadczenie (tj. wysłane e-mailem) było nieskuteczne lub zwyczajnie nieważne, tj. nieistniejące. W takiej sytuacji druga strona zyskuje dodatkowe „karty do gry”, a sam przedsiębiorca, który złożył takie nieskuteczne oświadczenie, może narazić się na negatywne konsekwencje finansowe… Jak uniknąć takich sytuacji, żeby nie dać się zapędzić w przysłowiowy kozi róg?
Zwracaj uwagę na definicje form czynności prawnych
Polski kodeks cywilny definiuje katalog form czynności prawnych o różnym znaczeniu i konsekwencjach ich niedochowania. Zaliczymy do nich formę pisemną, formę dokumentową, kwalifikowaną formę pisemną (w tym akt notarialny) oraz formę elektroniczną. Zbiorczo nazwiemy je formami szczególnymi. Oprócz nich oczywiście funkcjonuje także najmniej sformalizowana forma ustna.
Czy przysłowiowy e-mail jest formą elektroniczną? Niestety nie.
Dla zachowania tzw. „formy elektronicznej” ustawa zastrzega konieczność złożenia oświadczenia woli w postaci elektronicznej, tj. np. dokumentu PDF opatrzonego kwalifikowanym podpisem elektronicznym. Do zachowania zatem takiej formy szczególnej wymagane jest w praktyce posiadanie certyfikowanego oprogramowania.
Jak zatem określić w umowie, że oświadczenia mogą być składane mailowo?
Wiadomość e-mail, jak również inne (sms, wiadomość WhatsApp) są „dokumentami” w rozumieniu polskich przepisów kodeksu cywilnego. Oznacza to, że wiadomość e-mail będzie tzw. formą dokumentową, o ile można z niej odczytać dane osoby, która ją wysłała. Jest to mniej sformalizowana forma czynności prawnej, która nie wymaga składania własnoręcznego podpisu, czy opatrywania go kwalifikowanym podpisem elektronicznym. Jedynym wymogiem jest to, aby dokument pozwalał na jego odczytanie i odtwarzanie w ramach zwykłych czynności, jak również na identyfikację osoby, która dane oświadczenie w takiej formie złożyła.
Dodatkowo taką formę dokumentową (jaką jest np. wiadomość e-mail przesłana przez pracownika działu handlowego w związku z realizacją umowy) możemy opatrzyć rygorem, np. rygorem nieważności. Rygor ten (dość popularny) dosyć często w ciemno „przepisywany” jest w umowach, zwykle bez świadomości i wiedzy, jakie konsekwencje z niego wynikają. Przedsiębiorcom wydaje się, że opatrzenie formy czynności prawnej rygorem nieważności zwiększy ich bezpieczeństwo w ramach realizacji umowy, co nie zawsze okazuje się prawdą.
Polski system prawa cywilnego wskazuje na kilka sankcji niedochowania formy czynności. Najbardziej dotkliwą jest sankcja nieważności, która ma miejsce albo w sytuacji ustanowienia takiego rygoru przez strony, albo gdy wynika to bezpośrednio z ustawy. Brak zachowania takiej formy powoduje, że złożenie oświadczenia jest nieważne, a co za tym idzie – iż nie wywołuje określonych skutków prawnych (uważa się je za nieistniejące).
Jeśli zatem strony zastrzegą w umowie, że oświadczenie o odstąpieniu od umowy wymaga formy elektronicznej pod rygorem nieważności, przez co mylnie rozumieją wiadomość e-mail – wysłanie takiego oświadczenia mailem nie wywoła żadnych skutków prawnych wobec drugiej strony.
Konsekwencje braku świadomości takich podstawowych zasad mogą być dla przedsiębiorcy opłakane – na przykład wtedy, gdy uznając, że prawidłowo odstąpił lub wypowiedział umowę, zaprzestanie jej realizacji. Jeżeli okaże się, że złożone przez niego oświadczenie okaże się nieważne lub nieskuteczne, przedsiębiorca może zostać uznany za stronę, która umowę porzuciła, co naraża go na surowe konsekwencje w postaci roszczenia odszkodowawcze drugiej strony.
Jak prawidłowo formułować postanowienia umowy dotyczące form szczególnych?
Na pewno, przed podpisaniem jakiejkolwiek umowy, warto skorzystać z opinii prawnika. Jeśli jednak nie masz na chwilę obecną takich możliwości, przy redakcji postanowień umownych zwracaj uwagę na następujące kwestie:
- rozróżniaj formy szczególne zastrzeżone dla oświadczeń woli – pamiętaj, czym różni się forma pisemna od formy dokumentowej, czy elektronicznej (to nie jest to samo!)
- pamiętaj, że istnieją różne rygory, których niedochowanie może poskutkować np. nieważnością lub bezskutecznością złożonego przez ciebie oświadczenia,
- jeżeli chcesz wysyłać oświadczenia drogą mailową, wskaż w umowie na formę dokumentową – za pośrednictwem wiadomości e-mail, nie wpisuj formy elektronicznej,
- precyzyjnie określaj postanowienia umowne, zwracając uwagę na prawa i obowiązki stron, jak również konsekwencje jakie płyną z ich naruszenia.
Komunikacja stron jest niezwykle istotna w kontekście realizacji umowy przez obie strony. Przedsiębiorcy powinni zadbać, aby odbywała się ona zgodnie z ich pierwotnymi założeniami, ale przede wszystkim prawidłowo i skutecznie. Powinni zatem z większą świadomością podchodzić do takich, prostych – jakby się mogło zdawać – postanowień umownych, dzięki którym można zapobiec wpadnięciu w pułapkę, która mogłaby wyrządzić poważne szkody.
Przykładowe postanowienie umowne – zastrzeżenie formy dokumentowej (wiadomość e-mail)
„Wszelkie oświadczenia stron składane w związku z realizacją umowy będą dokonywane w formie dokumentowej, za pośrednictwem wiadomości e-mail, o ile strony wyraźnie nie zastrzegły formy pisemnej rygorem nieważności.”

Eliminowanie zagrożeń w obrocie gospodarczym, w którym przedsiębiorcy uczestniczą jako profesjonaliści jest niezwykle istotne. Nawet pozornie prozaiczna rzecz, jak kwestia składania oświadczeń woli potrafi stwarzać ryzyka dla prowadzonej działalności gospodarczej. Dlatego tak niezwykle istotne jest, żeby prawidłowo tworzyć postanowienia umowy.
